Terms of Service

These Terms govern your access to and use of StrategyNodes (the “Service”) — a no-code platform for building, backtesting, and exporting trading strategies. By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. What StrategyNodes is
StrategyNodes is a research and education tool. It lets you design trading strategies visually, run historical backtests and robustness tests, and export your strategy as code (e.g. TradingView Pine or MetaTrader MQL5). It is not a broker, exchange, custodian, order router, or investment adviser. The Service does not place trades, hold funds, or connect to your brokerage. Any trading you do based on your research happens entirely outside the Service, through providers you choose, at your own risk.
2. Not financial advice
Nothing provided by the Service — including strategies, backtest results, scores, metrics, AI-generated commentary, or exported code — is financial, investment, tax, or legal advice, a recommendation, or a solicitation to buy or sell any instrument. Backtested and simulated results are hypothetical, do not represent actual trading, and are not indicative of future results. You are solely responsible for your own trading and investment decisions. 3. Eligibility & accounts
- You must be at least 18 years old and able to form a binding contract.
- Accounts and sign-in are handled by our authentication provider (Clerk). You are responsible for keeping your credentials secure and for all activity under your account.
- You may browse and build strategies as a guest; saving, scoring, AI features, and exports require an account.
- Provide accurate information and keep it up to date. One person or entity per account unless we agree otherwise.
4. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Reverse engineer, decompile, scrape at scale, or attempt to extract proprietary indicators, models, or source beyond what the Service intentionally exposes (such as your own exported strategy code).
- Resell, sublicense, or redistribute the Service or bulk-export market data obtained through it.
- Interfere with, overload, or disrupt the Service or its infrastructure (including circumventing rate limits or security controls).
- Upload malicious code or use the Service to harm others.
5. Intellectual property & your content
Our IP. The Service, including its software, design, proprietary indicators, scoring methodology, and content, is owned by StrategyNodes and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service under these Terms.
Your strategies. You retain ownership of the strategies you create and of the strategy code you export. We claim no ownership over your strategies. You grant us a limited licence to store and process them only as needed to operate the Service for you (for example, to run a backtest or generate an AI review).
6. Subscriptions & billing
- The Service offers free and paid tiers. Paid features are billed through our payment processor (Stripe); we do not store your full card details.
- Paid plans are subscriptions that renew automatically each billing period until cancelled. You can cancel at any time from your account’s billing page (which opens the secure Stripe customer portal), effective at the end of the current period.
- Prices and plan features may change; we will give reasonable notice of material changes. Taxes may apply.
- Except where required by law, payments are non-refundable. We may offer refunds at our discretion.
7. Market data & third parties
Market data is provided by third-party sources and may be delayed, incomplete, or inaccurate. It is provided “as is” for research only and must not be relied on for live trading decisions. The Service integrates third-party providers (for example, authentication, payments, AI analysis, and market-data feeds); your use of those features may also be subject to their terms. 8. Disclaimers
The Service is provided “as is” and “as available,” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that any result, score, or export will be accurate or profitable.
9. Limitation of liability
To the maximum extent permitted by law, StrategyNodes and its operators will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading or investment losses, loss of profits, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim relating to the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD 100.
10. Indemnification
You agree to indemnify and hold harmless StrategyNodes and its operators from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your trading decisions, your content, or your breach of these Terms.
11. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access if you breach these Terms, or to protect the Service or other users. Sections that by their nature should survive (IP, disclaimers, liability, indemnity, governing law) survive termination.
12. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date and, where appropriate, notify you. Continuing to use the Service after changes take effect means you accept the revised Terms.
13. Governing law
These Terms are governed by the laws of the State of Delaware and the applicable federal laws of the United States, without regard to conflict-of-law rules. You and StrategyNodes agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute, except where mandatory local consumer-protection law provides otherwise.
